Effective date: September 29, 2026
PLEASE READ THESE TERMS CAREFULLY. SECTION 20 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT HOW DISPUTES ARE RESOLVED. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 20.
These Terms of Service ("Terms") are a binding agreement between you and Cars Bikes N Bites LLC, a Utah limited liability company ("CBB," "Company," "we," "us," or "our"), governing your access to and use of the CBB platform, including our web and mobile application, client and vendor portals, event booking tools, photo and content galleries, ambassador and referral programs, and all related services (collectively, the "Service"). By checking the box to agree when you sign up, selecting "I agree," or otherwise accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old, or the age of majority in your state of residence if higher, to create an account and agree to these Terms. The Service is not directed to children, and we do not knowingly allow anyone under 18 to open an account. If you use the Service on behalf of a business or other organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.
2. Description of the Service
The Service helps CBB and the vendors, photographers, brand ambassadors, sales representatives, and clients who work with us manage bookings, events, vendor spaces, ticket and product sales, invoicing, and photo and video delivery. Features available to you depend on your role and may change, be added, or be removed at any time.
3. License to Use the Software
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service through supported web and mobile clients, solely for your own personal or internal business use as permitted by your account role. You agree not to: (a) copy, modify, or create derivative works of the Service or its software; (b) reverse engineer, decompile, or disassemble any part of the Service, except to the extent applicable law expressly permits this despite this restriction; (c) rent, lease, sell, sublicense, distribute, or otherwise transfer access to the Service to a third party; (d) remove or obscure any proprietary notices; or (e) use the Service to build a competing product or service. We reserve all rights not expressly granted to you. This license ends automatically if you violate these Terms or when your account is closed.
4. Accounts and Account Security
You are responsible for keeping your login credentials confidential and for all activity under your account. Provide accurate, current information when registering and keep it up to date. Where the Service offers two-factor authentication, we recommend enabling it. Notify us promptly at tobin@carsbikesnbites.com if you suspect unauthorized use of your account. You may delete your account at any time from Account settings in the app.
5. Privacy
Our Privacy Policy explains what personal information we collect, how we use and disclose it, how long we keep it, and the privacy rights available to you, including under the laws of your state. We do not sell your personal information, and we do not share it for targeted or cross-context behavioral advertising.
6. Electronic Communications and Signatures
You agree that checking a box, selecting "I agree," or typing your name in the Service is your electronic signature, has the same effect as a handwritten signature, and satisfies any legal requirement that an agreement be in writing. You consent to receive notices, agreements, and other communications from us electronically, by email or in the Service. You can withdraw this consent by closing your account.
7. Account and Transactional Messages; Text Messages
By creating an account, you agree that we may send account, transactional, and service-related messages by email, text message (SMS), or phone — such as booking confirmations, invoices, agreement and signature requests, security codes, and notices about these Terms — to the contact information you provide. These messages are needed to operate your account. We will send marketing or promotional text messages only with your prior express written consent, which is never a condition of any purchase. Message frequency varies; message and data rates may apply. Reply STOP to stop text messages or HELP for help. You can change your contact preferences in your account settings or by contacting tobin@carsbikesnbites.com.
8. Bookings, Events, and Vendor Spaces
Bookings, event dates, shoot schedules, and vendor space or booth reservations made through the Service are subject to the cancellation, rescheduling, and deposit terms disclosed to you at the time of booking or in a separate signed agreement. Where a booking is between you and a vendor or other user, we facilitate the arrangement through the Service but are not a party to it unless we expressly say so.
In-person events. If you attend, exhibit at, or otherwise take part in a physical event organized or promoted through the Service, you agree to follow all safety instructions, venue rules, and applicable law on site. Separate waivers, releases, or participant agreements may apply to in-person participation. They are not replaced by these Terms, and where one is presented to you, it also governs your participation.
9. Products, Tickets, and Payments
Certain features let you buy tickets, products, packages, or services, or pay invoices, through the Service. Payments are processed by our third-party payment processor (Stripe). You authorize the charges shown to you when you submit payment. We do not store full payment card numbers. Prices and fees are shown before you pay. Fees are non-refundable except as required by law, as stated at the time of purchase, or as agreed in writing. You are responsible for applicable taxes. If we ever offer a subscription or other automatically renewing purchase, we will clearly disclose the renewal terms, obtain your consent before charging you, send any reminders required by law, and let you cancel online as easily as you signed up.
10. Discounts, Referrals, and Ambassador Rewards
Promotional codes, referral codes, and ambassador reward programs are subject to the specific terms disclosed for each program (including eligibility, expiration, and redemption limits) in addition to these Terms, and may be changed, suspended, or ended at any time. We may void a credit obtained through fraud, abuse, or violation of these Terms. Where a program involves your personal information, we will describe it before you join, and you can leave at any time.
11. Content You Submit
The Service lets you upload, store, share, and download photographs, video, event details, profile information, and other content ("Content"). You keep whatever ownership rights you have in your Content. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, transmit, and make available for download that Content solely as needed to operate, provide, and improve the Service — including showing galleries to clients and vendors and, where a gallery, listing, or profile is marked public or shared, to the people you designate or the public. This license ends when your Content is deleted from the Service, except for copies others have already downloaded or that we must keep by law.
You represent that you own or have all rights, licenses, consents, and releases needed to upload your Content and grant the license above, including any consent or model release the law requires before uploading or publishing images of identifiable people. If your Content shows a minor, you represent that you are the minor's parent or guardian or that the parent or guardian's consent was lawfully obtained. You are solely responsible for your Content and for following the law on photographing, using, and publishing images of other people.
We may remove or disable access to Content we reasonably believe violates these Terms, infringes another's rights, or exposes us or others to liability. Anyone who appears in a photo on the Service may ask us to review or remove it by contacting tobin@carsbikesnbites.com.
12. Copyright Complaints (DMCA)
We respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act. If you believe Content on the Service infringes your copyright, send a written notice to our designated agent at tobin@carsbikesnbites.com that includes: a description of the copyrighted work; where the allegedly infringing material appears on the Service; your contact information; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the copyright owner; and your physical or electronic signature. We may remove or disable access to material identified in a valid notice, will make reasonable efforts to notify the person who posted it (who may submit a counter-notice as the law provides), and may terminate the accounts of repeat infringers.
13. Vendors, Ambassadors, Sales Representatives, and Meet Hosts
If you use the Service as a vendor, ambassador, sales representative, or Meet Host, your relationship with us is governed by these Terms and any separate written agreement for that role. Nothing in these Terms, by itself, creates an employment, partnership, agency, or joint-venture relationship. Commissions, referral fees, and other compensation are governed by that separate agreement or program terms.
Meets run by Meet Hosts. Some meets on the Service are organized by independent Meet Hosts, not by us. We provide the tools; the host organizes and runs their meet and is responsible for it. We are not a party to, and are not responsible for, a host's meet, its location, or what happens there. If you RSVP to a host's meet, your name, email address, and phone number are shared with that host and added to their contacts, as described in our Privacy Policy.
If you are a Meet Host, you agree to: (a) give accurate information about your meets and keep it current; (b) obtain any permits, venue or property-owner permission, and insurance your meet requires, and follow all applicable laws; (c) not organize, promote, or permit street racing, exhibition driving, stunts, or other unlawful or unsafe activity, on public roads or anywhere else; (d) use the personal information of people who RSVP only to organize, run, and communicate with them about your meets — never sell, rent, or share it, and never send them marketing messages without the consent the law requires; (e) honor any request from an attendee to stop contacting them or to delete their information, and delete it when we ask; (f) protect that information and follow applicable privacy laws; and (g) be solely responsible for your meet, and indemnify us, to the extent permitted by law, for claims arising from it. We may remove any meet, or end anyone's Meet Host access, at any time.
14. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) upload Content you do not have the right to share, or that infringes another person's rights, including privacy and publicity rights; (c) upload malicious code or try to gain unauthorized access to the Service or other users' accounts or data; (d) interfere with the integrity or performance of the Service; (e) scrape, harvest, or misuse data from the Service; (f) impersonate anyone or misrepresent your affiliation; or (g) use the Service to send unsolicited bulk messages.
15. Suspension, Termination, and Account Deletion
You may stop using the Service and delete your account at any time from Account settings. We may suspend or terminate your access, with or without notice, for conduct that violates these Terms, poses a risk to others, or involves suspected fraud or abuse. When an account is deleted, we remove the personal information in it as described in our Privacy Policy, while keeping records we are required to keep, such as transaction records and signed agreements. Provisions that by their nature should survive termination — including license restrictions, ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — survive.
16. Intellectual Property and Third-Party Services
The Service, including its software, design, and branding, is owned by us or our licensors and protected by intellectual property laws. Except for the limited rights in Section 3, no rights are granted to you. The Service may integrate with or link to third-party services, such as our payment processor and sign-in providers, which are governed by their own terms; we are not responsible for them.
17. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT WILL BE PRESERVED WITHOUT LOSS, AND WE DO NOT WARRANT THE CONDUCT OF ANY VENDOR, AMBASSADOR, CLIENT, OR OTHER USER. SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR, WHERE THE LAW DOES NOT ALLOW IT TO BE LIMITED, DEATH OR PERSONAL INJURY. SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
19. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless us and our officers, employees, and agents from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your Content, your use of the Service, or your violation of these Terms or applicable law, except to the extent caused by our own negligence or willful misconduct.
20. Dispute Resolution: Arbitration and Class Action Waiver
Informal resolution first. Before starting arbitration or a court case, you and we agree to try to resolve any dispute informally for at least 30 days after one of us sends the other a written description of the dispute (to us at tobin@carsbikesnbites.com).
Binding arbitration. Except for claims that qualify for small claims court and claims for injunctive relief to protect intellectual property or confidential information, any dispute arising out of or relating to these Terms or the Service will be resolved by binding, individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (for consumers) or Commercial Arbitration Rules (for businesses). The Federal Arbitration Act governs this section. The arbitration may take place by video, phone, or written submissions, or in person in the county where you live or another mutually agreed location. For consumer claims, we will pay the arbitration fees the AAA's rules require a business to pay, and you will not pay more in filing fees than you would to file in court. The arbitrator may award the same individual relief a court could.
Class action waiver. You and we may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any representative or class proceeding.
Opt-out. You may opt out of this arbitration agreement by emailing tobin@carsbikesnbites.com within 30 days after you first accept these Terms, stating your name, the email on your account, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
If any part of this section is found unenforceable, the rest remains in effect, except that if the class action waiver is found unenforceable as to a particular claim, that claim must be severed and decided in court, with the remaining claims proceeding in arbitration.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles, and by applicable federal law. For any dispute not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Utah, except that a consumer may bring a claim in the small claims court where they live.
22. Your Rights Under State Law
Nothing in these Terms waives or limits any right you have under the consumer protection or privacy laws of your state of residence that cannot be waived or limited by contract. Where a provision of these Terms is not permitted under the law of your state, that provision applies to you only to the extent your state's law allows.
California users: under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210, to resolve a complaint about the Service or to receive further information about its use.
23. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date and ask you to review and accept the updated Terms in the app before you continue using the Service. Changes do not apply retroactively to disputes that arose before the change.
24. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions stay in full effect. These Terms, together with our Privacy Policy and any additional agreements that apply to your use of the Service (such as a signed vendor agreement, event waiver, or ambassador agreement), are the entire agreement between you and us about the Service. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
